RudeAuth Terms of Service

These Terms of Service ("Terms") are an agreement between you and RudeAuth, a hosted software licensing and authentication service operated by an individual based in the Philippines ("RudeAuth", "we", "us"). They govern your use of the RudeAuth service.

1. Acceptance and eligibility

By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service. You must be able to form a binding contract, and if you use RudeAuth on behalf of an organization, you confirm you are authorized to accept these Terms for it.

2. The service

RudeAuth is a hosted service for licensing and authenticating software. It provides signed responses that your application verifies, binding of licenses to devices, gated server-side values and files, and an audit log. You integrate it through our client SDKs. We may improve or change the service over time.

3. Your account

You are responsible for the activity under your account and for keeping your credentials and signing keys secure. Tell us promptly at support@rudeauth.com if you believe your account has been compromised.

4. Your responsibility for your end users

You decide what your software sends to RudeAuth and for what purpose. As between you and RudeAuth, you are responsible toward your own end users for giving them notice, obtaining any consent required, and meeting the privacy and other laws that apply to your relationship with them. RudeAuth processes end-user data on your instructions; the terms of that processing are set out in our Data Processing Agreement, which forms part of these Terms.

5. Acceptable use

You agree not to:

• use the service for anything unlawful, or to infringe anyone's rights;
• attempt to break, overload, circumvent, or probe the service or its security outside of a responsible, coordinated disclosure to us;
• resell or present the raw RudeAuth service as if it were your own competing platform.

6. Plans, billing, and refunds

Paid plans are billed through Paddle, which acts as the merchant of record for your purchase. The current plans, their limits, and prices are shown on our pricing page at the time you subscribe. Refunds are governed by our Refund Policy, which includes a 14-day money-back guarantee on your first yearly-plan purchase. Taxes are handled by Paddle as merchant of record.

7. What RudeAuth does and does not promise

We are honest about what client-side licensing can do:

• It is not unbreakable, and we do not claim it is. A determined attacker with control of a device can inspect or modify software on it. RudeAuth raises the cost of abuse and protects availability for legitimate users; it is not an absolute control.
• Validation is server-side. If the service is unreachable, new sessions cannot start, although sessions already issued run until they expire. This is the honest cost of not trusting the client.
• The service is provided "as is" and "as available".

8. Warranties

To the fullest extent permitted by law, we disclaim all warranties that are not expressly stated here, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes any warranty or right that cannot be excluded under Philippine law.

9. Limitation of liability

To the fullest extent permitted by law, and except for liability that cannot be limited under Philippine law, our total liability to you for any claim arising out of or relating to the service is limited to the fees you paid to us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential losses, or for lost profits, revenue, or data.

10. The SDKs

Our client SDKs are open source under the MIT License. That license, not these Terms, governs your use of the SDK source code. These Terms govern your use of the hosted service the SDKs connect to.

11. Suspension and termination

You may stop using the service and close your account at any time. We may suspend or terminate access if you breach these Terms or abuse the service, and we will give notice where it is reasonable to do so. What happens to your data after termination is described in our Privacy Policy.

12. Changes to these Terms

We may update these Terms as the service or the law changes. When we do, we update the "Last updated" date above. If a change is material, we will make a reasonable effort to tell account holders. Continuing to use the service after a change means you accept it.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules. Any dispute that cannot be resolved informally will be handled by the competent courts of the Philippines, unless applicable law gives you the right to bring it elsewhere.
